Terms of Service

Welcome to Wrodium. These Terms of Service ("Terms") govern your access to and use of the Wrodium platform, including our Generative Engine Optimization (GEO) tools, content optimization dashboard, CMS integrations, AI citation analytics, and related services (collectively, the "Service"), operated by Wrodium, Inc. ("Wrodium," "we," "our," or "us").

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. By using Wrodium, you represent and warrant that you meet these requirements and that you are authorized to act on behalf of any organization whose content you submit through the platform.

2. Account Registration and Security

To access the Service, you must create a Wrodium account. You agree to:

  • Provide accurate, current, and complete registration information, including your name, email address, and company affiliation.
  • Maintain the confidentiality of your login credentials, API keys, and any authentication tokens associated with connected integrations.
  • Accept responsibility for all activity that occurs under your account, whether or not you authorized it.
  • Notify Wrodium immediately at support@wrodium.com if you suspect unauthorized access to your account.

Wrodium reserves the right to suspend or terminate accounts that exhibit suspicious activity, violate these Terms, or compromise the security or integrity of the Service.

3. Description of the Service

Wrodium provides a Generative Engine Optimization (GEO) platform that helps businesses optimize their digital content for visibility and citation in AI-powered search engines and large language models (LLMs), including ChatGPT, Perplexity, Google AI Overviews, and Claude.

The Service includes, but is not limited to:

  • AI citation monitoring and performance analytics across supported AI platforms
  • Content analysis and optimization recommendations powered by proprietary algorithms
  • CMS integrations for publishing optimized content (e.g., WordPress, Webflow, HubSpot, Shopify)
  • Historical citation tracking and competitive benchmarking reports
  • API access for programmatic integration with your existing workflows (where available under your subscription tier)

4. Subscriptions and Payments

4.1 Subscription Plans

Access to certain features of the Service requires a paid subscription. Subscription tiers, pricing, included features, and billing cycles are presented at the time of purchase and on our pricing page at wrodium.com/pricing.

4.2 Billing Authorization

By subscribing, you authorize Wrodium and our designated payment processor (currently Stripe) to charge your selected payment method on a recurring basis according to your billing cycle.

4.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting support@wrodium.com. Cancellation takes effect at the end of the current billing period.

4.4 Pricing Changes

Wrodium may adjust pricing for future billing periods with at least 30 days' prior notice. Continued use of the Service after a pricing change constitutes acceptance of the new pricing.

4.5 Refunds

Except as required by applicable law, all payments are non-refundable. If you cancel a subscription mid-cycle, you will retain access to the Service through the end of your current billing period but will not receive a prorated refund.

5. Your Content and Intellectual Property

5.1 Ownership

You retain all ownership rights to the content, data, and materials you submit to Wrodium for optimization ("Your Content"). Wrodium does not claim ownership of Your Content.

5.2 License to Wrodium

By submitting Your Content, you grant Wrodium a limited, non-exclusive, worldwide, royalty-free license to host, process, analyze, and display Your Content solely for the purpose of operating, providing, and improving the Service. This license terminates when you delete Your Content or close your account, subject to our data retention practices described in our Privacy Policy.

5.3 Responsibility for Your Content

You represent and warrant that you have the necessary rights and permissions to submit Your Content to Wrodium and that Your Content does not infringe on the intellectual property rights of any third party.

5.4 Aggregated and Anonymized Data

Wrodium may use aggregated, de-identified data derived from Your Content and usage of the Service to improve our algorithms, develop new features, and produce industry benchmarks. Such aggregated data cannot be used to identify you or your organization.

6. Wrodium Intellectual Property

All software, algorithms, models, documentation, branding, user interface designs, and other materials comprising the Service are owned by or licensed to Wrodium and are protected by applicable intellectual property laws.

You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works based on any part of the Service, except as expressly permitted by these Terms or applicable law.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Submit content that is defamatory, obscene, fraudulent, or that infringes on the rights of others.
  • Attempt to gain unauthorized access to any part of the Service, other user accounts, or Wrodium's systems or infrastructure.
  • Interfere with or disrupt the performance or availability of the Service.
  • Use automated scripts, bots, or scrapers to access the Service beyond the scope of any API access provided under your subscription.
  • Resell, sublicense, or redistribute the Service or any outputs generated by the Service without Wrodium's prior written consent.
  • Circumvent usage limits, rate limits, or access restrictions associated with your subscription tier.

Wrodium reserves the right to investigate and take appropriate action, including suspension or termination of your account, for any violation of this section.

8. Privacy and Data Use

Your use of the Service is governed by our Privacy Policy. The Privacy Policy describes how we collect, use, store, and protect your information, including how we handle Your Content for AI processing and optimization.

By using the Service, you acknowledge and consent to the data practices described in our Privacy Policy.

9. Third-Party Services and Integrations

The Service integrates with and may depend on third-party platforms, including:

  • CMS platforms (e.g., WordPress, Webflow, HubSpot, Shopify)
  • Analytics tools (e.g., Google Analytics, Google Search Console)
  • AI search engines and LLMs (e.g., ChatGPT, Perplexity, Claude, Google AI Overviews)
  • Payment processors (e.g., Stripe)
  • Authentication providers (e.g., Google, Microsoft SSO)

Wrodium is not responsible for the content, availability, privacy practices, or performance of any third-party services. Your use of third-party integrations is governed by their respective terms and policies. Changes to third-party platforms may affect the functionality of the Service, and Wrodium is not liable for any resulting disruptions.

10. Service Availability and Modifications

Wrodium strives to maintain continuous and reliable access to the Service. However, we do not guarantee uninterrupted or error-free availability. We may:

  • Perform scheduled or emergency maintenance that temporarily limits access.
  • Modify, update, or discontinue features of the Service as we continue to develop the platform.
  • Suspend access to the Service in whole or in part for security, legal compliance, or operational reasons.

For planned downtime or material changes to the Service, we will provide reasonable advance notice when possible.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WRODIUM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
  • ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI CITATION DATA, OPTIMIZATION RECOMMENDATIONS, OR PERFORMANCE PREDICTIONS.

Wrodium does not guarantee specific outcomes from the use of the Service, including improvements in AI search visibility, citation frequency, or content performance. Results depend on numerous factors outside Wrodium's control, including the behavior of third-party AI platforms.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WRODIUM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

WRODIUM'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO WRODIUM FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless Wrodium, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service or any activity under your account.
  • Your violation of these Terms or any applicable law or regulation.
  • Your Content or any claim that Your Content infringes the rights of a third party.
  • Your use of third-party integrations in connection with the Service.

14. Termination

14.1 Termination by You

You may stop using the Service and close your account at any time through your account settings or by contacting support@wrodium.com.

14.2 Termination by Wrodium

Wrodium may suspend or terminate your access to the Service immediately and without prior notice if:

  • You breach these Terms.
  • Your use poses a security risk to the Service or other users.
  • Termination is required by law or regulation.
  • Your account has been inactive for an extended period.

14.3 Effect of Termination

Upon termination, your right to access and use the Service ceases immediately. Wrodium will retain and delete Your Content in accordance with the data retention practices described in our Privacy Policy. Sections that by their nature should survive termination (including Sections 5, 6, 11, 12, 13, 15, and 17) will continue to apply.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed under the laws of the State of California, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Alameda County, California. You consent to the personal jurisdiction of these courts.

Before initiating any formal legal proceeding, both parties agree to attempt in good faith to resolve the dispute through informal negotiation for a period of at least 30 days.

16. Amendments

Wrodium may revise these Terms periodically to reflect changes in our practices, the Service, or applicable law. The "Effective Date" at the top of this document indicates the most recent revision.

For material changes, we will provide at least 15 days' notice via email or in-app notification. Your continued use of the Service after any revision constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service before the updated Terms take effect.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any subscription-specific terms presented at the time of purchase, constitute the entire agreement between you and Wrodium regarding the Service. They supersede all prior communications, proposals, or understandings.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

17.3 Waiver

Wrodium's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer your rights under these Terms without Wrodium's prior written consent. Wrodium may assign its rights and obligations under these Terms without restriction.

17.5 Notices

Wrodium may provide notices to you electronically through email, the Service interface, or our website. You may send notices to Wrodium at the contact information below.
